Speaker’s Legal Status. Contractor/Speaker certifies that the individual(s) performing the services have the appropriate citizenship or VISA
status to perform the services specified in this Agreement.
Speaker’s Warranty. Speaker warrants that he/she is the sole owner of the presentation materials and/or has full power and authority to make this
Agreement; that the presentation materials do not infringe any copyright, violate any property rights, or contain any scandalous, libelous, or unlawful matter.
Speaker will defend, indemnify, and hold harmless VitaeSeminars against all claims, suits, costs, damages, and expenses that the VitaeSeminars may sustain by reason
of any scandalous, libelous, or unlawful matter contained or alleged to be contained in the presentation materials.
Speaker’s CV & Profile. Speaker gives permission to use credentials and photographs submitted by Speaker or taken during the seminar in print or electronic
publishing for any lawful purpose, including for example such purposes as publicity, illustration, advertising and Web content.
Inability to Perform. If Speaker is unable to appear on the dates scheduled due to any reason, VitaeSeminars will have no obligation financially to Speaker.
Four (4) weeks minimum notice is required for cancellation of speaking agreement for a Domestic Seminar. Eight (8) weeks minimum notice is required for cancellation of
speaking agreement for a Domestic Seminar.
Indemnification. Speaker agrees to indemnify and hold VitaeSeminars and its respective officers, agents, and employees free and harmless from all liability, loss,
damage, costs, and all other claims for expenses asserted against any of them which may arise from injuries to persons or property occasioned by the intentional or
negligent acts or omissions of Speaker or representatives.
Independent Contractor. Speaker is an independent contractor and is not a state employee, partner, joint venturer, or agent of VitaeSeminars.
Speaker acknowledges that VitaeSeminars shall have no responsibility to provide insurance or other fringe benefits normally associated with employee status.
Speaker is solely responsible for all taxes, withholdings, and other statutory or contractual obligations of any sort.
Compliance with Laws. Speaker shall abide by and conform to all rules and regulations adopted or prescribed by VitaeSeminars as well as all federal, state, and local laws.
Governing Law; Venue. This agreement shall be construed under and in accordance with the laws of the State of Arizona and all obligations of the parties
created hereunder are performable in Maricopa County, Arizona.
Speakers disclosure. Speaker must disclose the following information before a contract is issued:
• Do you have any relevant financial relationships with commercial interests?
• Do you receive any financial or other support from any entity that relates to the material you are presenting?
Answering “Yes” to either of the above does not disqualify you from speaking at any of our conferences as long as there is no conflict of interest. We need to know this
information and inform our participants of the relationships.
Because of our accreditation requirements, we have listed a few things to keep in mind when preparing your presentation:
• It is important that the speaker addresses the individual needs of the attendees according to the following issues: age, gender, ethnicity, language, socioeconomics,
disparities in care, sexual orientation, communication ability, religion, health literacy and cultural background at some point in his/her presentation.
